Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website and marketplace ("Service") operated by Sogorox ("Company"). By accessing or using the Service, you agree to be bound by these Terms.

By clicking the "Agree" button, creating an account, or actually using the Service, you are deemed to have given legally binding consent to all conditions of these Terms.

If you do not agree to these Terms, you must immediately cease using the Service.

2. Intellectual Property Rights

All intellectual property rights in the content provided through the Service belong to the Company.

• All copyrights, trademark rights, and other intellectual property rights in the source code, designs, layouts, text, images, logos, trademarks, and all other content of the Service are exclusively owned by the Company or its licensors.
• Intellectual property rights in all outputs provided through the Service, including content generated using AI technology, belong to the Company.
• You may only use purchased templates within the scope expressly granted under these Terms, and no rights beyond such scope are granted.

3. License and Usage

The Company grants you a non-exclusive, non-transferable, revocable, limited right to use. Our templates are offered under the following license tiers:

• Free License: Available for personal and commercial use. Footer credit link must be retained.
• Pro Single License: Full source code for 1 domain. Credit link removal included.
• Pro Unlimited License: Unlimited client deliveries for agencies and freelancers.
• Standard Subscription ($149/yr): Unlimited access to L1 & L2 templates. L3 Production Stack available at 30% discount. Includes GitHub private repo access.
• Premium All-Access ($599/yr): Full catalog access including L3 Production Stack. 10 project keys per year. GitHub private repo access for all levels.
• Agency Lifetime ($1,499 one-time): Permanent full-catalog access with white-label delivery rights and unlimited project keys.

You may not redistribute, resell, or lease our templates as standalone digital products. Licenses are valid only for the original purchaser and cannot be assigned or transferred to third parties. L3 Production Stack templates are excluded from the Standard subscription plan (L3 Carve-out policy) and require separate purchase or a Premium/Agency plan.

4. Prohibited Conduct

You shall not engage in the following activities when using the Service:

• Collecting or reproducing Service content using automated tools (bots, crawlers, scrapers, etc.)
• Reverse engineering, decompiling, or disassembling the source code, software, or technical protection measures of the Service
• Reselling or redistributing purchased templates in their original form or in a substantially similar form
• Unauthorized use of another person's account, or sharing or transferring your account credentials to third parties
• Circumventing or disabling digital rights management (DRM) or other technical protection measures
• Interfering with the normal operation of the Service or imposing excessive load on servers or networks
• Creating accounts with false information or requesting refunds for fraudulent purposes

5. Limitation of Liability and Disclaimer

The Service and all templates are provided strictly "AS-IS" and "AS-AVAILABLE," without warranty of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

• The Company's total liability shall be limited to the amount actually paid by you to the Company during the 12 months preceding the date on which the cause of the claim arose.
• The Company shall not be liable for indirect, consequential, special, punitive damages, or lost profits.
• However, the above limitations shall not apply to damages caused by the Company's willful misconduct or gross negligence.
• The Company shall not be liable for service interruptions caused by force majeure events such as natural disasters, war, terrorism, government actions, or communication failures.
• The Company does not guarantee compatibility with third-party libraries, frameworks, or hosting environments. All integration is the sole responsibility of the purchaser.
• This disclaimer does not limit the Company's right to enforce the End User License Agreement (EULA) and pursue remedies for license violations.

6. Data Processing and AI Training

The Company processes data for service improvement and AI technology advancement.

• Ownership of data that you input or upload to the Service ("User Data") remains with you.
• The Company may use User Data after anonymization or pseudonymization processing for AI model training and service improvement purposes.
• Anonymized data does not constitute personal information under applicable data protection laws and may be used for the Company's legitimate interests without separate consent.
• If you do not consent to the use of User Data for AI training, you may express your objection through the Service settings or customer support.

7. Refund Policy

Due to the digital nature of our products, we generally do not offer refunds once the source code has been downloaded. However, we provide a 14-day money-back guarantee if the product is found to be significantly faulty.

Refund requests must be submitted within 14 days of purchase through customer support (support@sogorox.com), and an explanation of the refund reason is required.

8. License Violation Enforcement

The Company employs technical measures to detect and enforce license compliance. If you violate these Terms or the EULA, the Company may take the following measures:

• The Company may immediately restrict, suspend, or terminate your use of the Service without prior notice, and revoke all license keys and GitHub repository access.
• All templates contain embedded code fingerprints (non-removable identifiers) for the purpose of license compliance verification. Removal or tampering with these identifiers constitutes a separate violation.
• The Company may pursue civil and criminal legal liability under applicable copyright law, including statutory damages up to ₩50,000,000 (KRW) per violation under Korean Copyright Act Articles 125 and 125-2.
• Circumventing or disabling technical protection measures, including license verification middleware, code fingerprints, or download access controls, is strictly prohibited and subject to additional penalties.
• The Company may report or notify the violation to relevant investigative or regulatory authorities.
• If you object to the Company's sanctions, you may file a written objection within 30 days of the action.

9. Governing Law and Jurisdiction

The interpretation and application of these Terms shall be governed by the laws of the Republic of Korea.

• All disputes related to these Terms shall be subject to the exclusive jurisdiction of the Seoul Central District Court as the court of first instance.
• The parties shall negotiate in good faith for the amicable resolution of disputes before resorting to litigation.
• For international users, the laws of the Republic of Korea shall also apply, and the Seoul Central District Court shall have exclusive jurisdiction.

10. Changes to Terms

The Company may amend these Terms as necessary.

• Changes to the Terms will be notified through in-service announcements or email at least 7 days before the effective date.
• For significant changes unfavorable to users, notice will be given at least 30 days before the effective date.
• If you continue to use the Service after the effective date of the amended Terms, you are deemed to have agreed to the amended Terms.
• If you do not agree to the amended Terms, you may discontinue use of the Service and withdraw your account.
